## Key points

- AMD is buying World Labs for about $8.2 billion in stock, its second-largest acquisition ever.
- Fei-Fei Li becomes AMD executive vice president and chief scientist, reporting to Lisa Su.
- The deal is a bet on spatial AI and robotics, and it should close by the end of 2026 if regulators agree.

## Article

$8.2 billion, paid entirely in AMD shares. That is the price of World Labs, the spatial intelligence startup founded by Fei-Fei Li, in a deal AMD announced on 29 September, per [Data Center Dynamics](https://www.datacenterdynamics.com/en/news/amd-acquires-ai-research-firm-world-labs-in-all-stock-deal-worth-82bn/). The merger agreement itself was signed on 26 September, according to AMD's [SEC filing](https://www.sec.gov/Archives/edgar/data/0000002488/000000248826000182/amd-20260926.htm).

## What the AMD World Labs acquisition buys

World Labs builds models that generate, reconstruct and simulate interactive 3D environments from text, images and video, plus tools for robot learning and simulation. Li, best known for the ImageNet dataset behind modern computer vision, becomes AMD's executive vice president and chief scientist, reporting to Lisa Su. Her team keeps working on model research after the deal closes.

AMD's stated reason is to put model research closer to its hardware and software roadmap as AI moves into reasoning, robotics and physical applications. [Yahoo Finance](https://finance.yahoo.com/technology/ai/articles/amd-acquires-fei-fei-lis-121544620.html) ranks it as AMD's second-largest acquisition ever, behind Xilinx.

## Why the structure matters

The quiet detail is the payment. An all-stock deal means World Labs shareholders end up owning a slice of AMD, and the final share count depends on AMD's average price over the ten trading days before closing. Both sides are betting that AMD stock holds up between now and then.

Strategically, this is AMD buying a research team rather than a product. Nvidia has spent years building simulation and robotics software around its own chips, and AMD has mostly competed on hardware, as our look at Nvidia's [Rubin platform](/article/nvidia-rubin-platform-ai-supercomputer/) shows. Owning a world-model lab gives AMD in-house researchers who will push its GPUs on exactly the workloads robot makers care about. The traffic between AI labs and chipmakers now runs both ways, with Anthropic going the other direction in its [Microsoft Maia chip deal](/article/anthropic-claude-microsoft-maia-chip-deal/).

## What to watch next

Regulatory approval is the first gate, with closing expected by the end of 2026. After that, the tell will be whether World Labs models start shipping tuned for AMD Instinct GPUs first. If they do, AMD bought a selling point for its hardware as much as a research lab.
